  1. 180 DAY LICENSE
  2.  
  3. This is a legal agreement ("Agreement") between you (either an
  4. individual or an entity), the end user ("Recipient"), and
  5. Microsoft Corporation ("Microsoft").  BY INSTALLING, COPYING OR
  6. OTHERWISE USING THE PRODUCT (AS DEFINED
  7. BELOW), YOU AGREE TO BE BOUND BY THE TERMS OF
  8. THIS AGREEMENT.  IF YOU DO NOT AGREE TO THE
  9. TERMS OF THIS AGREEMENT, DO NOT INSTALL, COPY
  10. OR USE THE PRODUCT.
  11.  
  12. MICROSOFT LICENSE AND NON-DISCLOSURE
  13. AGREEMENT FOR PRE-RELEASE CODE for the
  14. Microsoft Product code-named "Whistler" 
  15.  
  16.  1. GRANT OF LICENSE FOR DUAL DISTRIBUTION. 
  17.  
  18.     (a) Microsoft may provide the software accompanying this
  19.     Agreement (the "Product") as a web-based download or on a
  20.     CD-ROM.  Microsoft grants Recipient a limited, non
  21.     -exclusive, nontransferable, non-assignable, royalty-free
  22.     license to install and use copies of the Product on up to
  23.     one (1) computers residing on Recipient's premises,
  24.     solely for Recipient's internal testing.  The foregoing
  25.     limit is aggregate and applies regardless of how many
  26.     copies of the Product Recipient obtains from Microsoft. 
  27.     If Recipient is downloading the Product from a Microsoft
  28.     web site, Recipient may make one (1) additional copy of
  29.     the Product onto a CD-ROM to exercise the rights granted
  30.     above.  All other rights are reserved to Microsoft. 
  31.     Recipient shall not rent, lease, sell, sublicense,
  32.     assign, or otherwise transfer the Product or any
  33.     accompanying printed materials ("Documentation"). 
  34.     Recipient may not reverse engineer or decompile the
  35.     Product, except to the extent that local law expressly
  36.     prohibits the foregoing restriction.  Recipient may not
  37.     use the Product in a live operating environment where it
  38.     may be relied upon to perform in the same manner as a
  39.     commercially released product or with data that has not
  40.     been sufficiently backed up.  Recipient may not use the
  41.     Product for benchmark or performance testing.  Microsoft
  42.     and its suppliers shall retain title and all ownership
  43.     rights to the Product, and this Agreement shall not be
  44.     construed in any manner as transferring any rights of
  45.     ownership or license to the Product or to the features or
  46.     information therein, except as specifically stated
  47.     herein.

  49.     (b) Mandatory Activation. The license rights granted under
  50.     this EULA may be limited to the first fourteen (14) days
  51.     after Recipient first boots the Software Product unless
  52.     Recipient activates Recipient's copy of the Software
  53.     Product in the manner described during the setup sequence
  54.     of the Software Product and, as a result of such
  55.     activation, Recipient receives a final confirmation
  56.     number for the Software Product.  Any use of the Software
  57.     Product after the fourteenth (14th) day will require
  58.     Recipient's input of such confirmation number.  
  59.  
  60.     (c) RECIPIENT'S RIGHT TO USE THE PRODUCT
  61.     SHALL BE EFFECTIVE FROM THE DATE
  62.     RECIPIENT FIRST INSTALLS ANY PORTION
  63.     OF THE PRODUCT ON ANY DEVICE FOR A
  64.     PERIOD OF ONE HUNDRED EIGHTY (180)
  65.     DAYS. THE PRODUCT IS TIME SENSITIVE
  66.     AND WILL NOT FUNCTION UPON EXPIRATION
  67.     OF THE 180 DAY PERIOD. NOTICE OF
  68.     EXPIRATION WILL NOT ACTIVELY BE
  69.     GIVEN, SO RECIPIENT NEEDS TO PLAN FOR
  70.     THE EXPIRATION DATE AND MAKE A COPY
  71.     OF AND REMOVE RECIPIENT'S IMPORTANT
  72.     DATA BEFORE EXPIRATION. If Recipient
  73.     desires to use the Product after evaluation is completed,
  74.     Recipient will need to acquire a validly licensed copy of
  75.     the non-evaluation version of the Product.
  76.  
  77.     (d) At Microsoft's request, Recipient agrees to provide
  78.     reasonable feedback to Microsoft, including but not
  79.     limited to usability, bug reports and test results, with
  80.     respect to the testing of the Product.  In addition, if
  81.     requested by Microsoft, Recipient will use reasonable
  82.     efforts to review and comment on all documentation
  83.     supplied.  All bug reports, test results and other
  84.     feedback made by Recipient shall be the property of
  85.     Microsoft and may be used by Microsoft for any purpose it
  86.     sees fit.  Due to the nature of the development work,
  87.     Microsoft is not certain if errors or discrepancies in
  88.     the Product may be corrected.
  89.  
  90.     (e) Recipient's use of the Product shall take place solely at
  91.     Recipient's site. Recipient may not demonstrate or show
  92.     the Product to third parties without the express written
  93.     permission of Microsoft.
  94.  
  95.     (f) Recipient's use of software applications installed on or
  96.     accessed through the Product's IntelliMirror, Terminal
  97.     Services, or application-sharing functionality may
  98.     require additional licenses - please consult the license
  99.     agreement accompanying such software.

  101.  2. TERM OF AGREEMENT.  The term of this Agreement shall commence
  102.     upon Recipient's copying, installing or using the Product
  103.     and shall continue unless terminated by Microsoft in
  104.     writing at any time, with or without cause.  This
  105.     Agreement will terminate without notice upon the
  106.     commercial release of the Product.  Upon the termination
  107.     of this Agreement, Recipient shall cease use of the
  108.     Product and, upon request, shall promptly return to
  109.     Microsoft, or certify destruction of, all full or partial
  110.     copies of the Product and related materials provided by
  111.     Microsoft.
  112.  
  113.  3. SUPPORT.  Microsoft is not obligated to provide technical or
  114.     other support for the Product.  However, limited
  115.     technical support ("Support Services"), if noted in the
  116.     materials provided to Recipient by Microsoft, may be
  117.     available. Use of any such Support Services is governed
  118.     by the Microsoft policies and programs described in
  119.     "online" documentation, and/or in other Microsoft-provided
  120.     materials.  Any supplemental software code provided to
  121.     Recipient as part of the Support Services shall be
  122.     considered part of the Product and subject to the terms
  123.     and conditions of this Agreement. With respect to
  124.     technical information Recipient provides to Microsoft as
  125.     part of the Support Services, Microsoft may use such
  126.     information for its business purposes, including for
  127.     product support and development. Microsoft will not
  128.     utilize such technical information in a form that
  129.     personally identifies Recipient.  Such limited Support
  130.     Services may not be available in all countries outside
  131.     the United States and will be discontinued once the
  132.     Product is commercially released.
  133.  
  134.  4. MAINTENANCE.  Microsoft is not obligated to provide
  135.     maintenance, technical support, or updates to Recipient
  136.     for Product licensed under this Agreement.  In no event
  137.     shall Microsoft be obligated to provide Recipient, free
  138.     of charge, a copy of the commercial release version of
  139.     the Product in connection with Recipient's participation
  140.     in the testing program.  Microsoft is not obligated to
  141.     make the Product commercially available.

  143.  5. DISCLAIMER OF WARRANTIES.  To the maximum
  144.     extent permitted by applicable law, Microsoft and its
  145.     suppliers provide to Recipient the Product and Support
  146.     Services AS IS AND WITH ALL FAULTS;
  147.     and Microsoft and its suppliers hereby disclaim with
  148.     respect to the Product and Support Services all
  149.     warranties and conditions, whether express, implied or
  150.     statutory, including, but not limited to, any (if any)
  151.     warranties, duties or conditions of or related to: 
  152.     merchantability, fitness for a particular purpose, lack
  153.     of viruses, accuracy or completeness of responses,
  154.     results, workmanlike effort and lack of negligence.  ALSO
  155.     THERE IS NO WARRANTY, DUTY OR
  156.     CONDITION OF TITLE, QUIET ENJOYMENT,
  157.     QUIET POSSESSION, CORRESPONDENCE TO
  158.     DESCRIPTION OR NON-INFRINGEMENT.  THE
  159.     ENTIRE RISK ARISING OUT OF USE OR
  160.     PERFORMANCE OF THE PRODUCT AND ANY
  161.     SUPPORT SERVICES REMAINS WITH
  162.     RECIPIENT.
  163.  
  164.  6. EXCLUSION OF INCIDENTAL, CONSEQUENTIAL
  165.     AND CERTAIN OTHER DAMAGES.  TO THE
  166.     MAXIMUM EXTENT PERMITTED BY
  167.     APPLICABLE LAW, IN NO EVENT SHALL
  168.     MICROSOFT OR ITS SUPPLIERS BE LIABLE
  169.     FOR ANY SPECIAL, INCIDENTAL,
  170.     INDIRECT, PUNITIVE OR CONSEQUENTIAL
  171.     DAMAGES WHATSOEVER (INCLUDING, BUT
  172.     NOT LIMITED TO, DAMAGES FOR:  LOSS OF
  173.     PROFITS, LOSS OF CONFIDENTIAL OR
  174.     OTHER INFORMATION, BUSINESS
  175.     INTERRUPTION, PERSONAL INJURY, LOSS
  176.     OF PRIVACY, FAILURE TO MEET ANY DUTY
  177.     (INCLUDING OF GOOD FAITH OR OF
  178.     REASONABLE CARE), NEGLIGENCE, AND ANY
  179.     OTHER PECUNIARY OR OTHER LOSS
  180.     WHATSOEVER) ARISING OUT OF OR IN ANY
  181.     WAY RELATED TO THE USE OF OR
  182.     INABILITY TO USE THE PRODUCT OR THE
  183.     SUPPORT SERVICES, OR THE PROVISION OF
  184.     OR FAILURE TO PROVIDE SUPPORT
  185.     SERVICES, OR OTHERWISE UNDER OR IN
  186.     CONNECTION WITH ANY PROVISION OF THIS
  187.     AGREEMENT, EVEN IF MICROSOFT OR ANY
  188.     SUPPLIER HAS BEEN ADVISED OF THE
  189.     POSSIBILITY OF SUCH DAMAGES.   
  190.  
  191.  7. LIMITATION OF LIABILITY AND REMEDIES. 
  192.     Notwithstanding any damages that Recipient might incur
  193.     for any reason whatsoever (including, without limitation,
  194.     all damages referenced above and all direct or general
  195.     damages), the entire liability of Microsoft and any of
  196.     its suppliers under any provision of this Agreement and
  197.     your exclusive remedy for all of the foregoing shall be
  198.     limited to actual damages incurred by Recipient based on
  199.     reasonable reliance up to the greater of the amount
  200.     actually paid by Recipient for the Product or U.S.$5.00. 
  201.     The foregoing limitations, exclusions and disclaimers
  202.     shall apply to the maximum extent permitted by applicable
  203.     law, even if any remedy fails its essential purpose.

  205.  8. NOTE ON JAVA SUPPORT.  THE SOFTWARE
  206.     PRODUCT MAY CONTAIN SUPPORT FOR
  207.     PROGRAMS WRITTEN IN JAVA.  JAVA
  208.     TECHNOLOGY IS NOT FAULT TOLERANT AND
  209.     IS NOT DESIGNED, MANUFACTURED, OR
  210.     INTENDED FOR USE OR RESALE AS ONLINE
  211.     CONTROL EQUIPMENT IN HAZARDOUS
  212.     ENVIRONMENTS REQUIRING FAIL-SAFE
  213.     PERFORMANCE, SUCH AS IN THE OPERATION
  214.     OF NUCLEAR FACILITIES, AIRCRAFT
  215.     NAVIGATION OR COMMUNICATION SYSTEMS,
  216.     AIR TRAFFIC CONTROL, DIRECT LIFE
  217.     SUPPORT MACHINES, OR WEAPONS SYSTEMS,
  218.     IN WHICH THE FAILURE OF JAVA
  219.     TECHNOLOGY COULD LEAD DIRECTLY TO
  220.     DEATH, PERSONAL INJURY, OR SEVERE
  221.     PHYSICAL OR ENVIRONMENTAL DAMAGE. 
  222.     Sun Microsystems, Inc. has contractually obligated
  223.     Microsoft to make this disclaimer.

  225.  9. GOVERNING LAW; ATTORNEYS' FEES.  This
  226.     Agreement shall be construed and controlled by the laws
  227.     of the State of Washington, and Recipient consents to the
  228.     jurisdiction and venue in the federal courts sitting in
  229.     King County, Washington, unless no federal subject matter
  230.     jurisdiction exists, in which case Recipient consents to
  231.     the jurisdiction and venue in the Superior Court of King
  232.     County, Washington.  Recipient waives all defenses of
  233.     lack of personal jurisdiction and forum non conveniens. 
  234.     Process may be served on either party in the manner
  235.     authorized by applicable law or court rule.  If either
  236.     Microsoft or Recipient employs attorneys to enforce any
  237.     rights arising out of or relating to this Agreement, the
  238.     prevailing party shall be entitled to recover reasonable
  239.     attorneys' fees.

  241. 10. U.S. GOVERNMENT RESTRICTED RIGHTS.  The
  242.     Product and Documentation provided to the U.S. Government
  243.     pursuant to solicitations issued on or after December 1,
  244.     1995 is provided with the commercial rights and
  245.     restrictions described elsewhere herein.  Product and
  246.     Documentation provided to the U.S. Government pursuant to
  247.     solicitations issued prior to December 1, 1995 is
  248.     provided with RESTRICTED RIGHTS as provided for in FAR,
  249.     48 CFR 52.227-14 (JUNE 1987) or FAR, 48 CFR 252.227-7013
  250.     (OCT 1988), as applicable.

  252. 11. EXPORT RESTRICTIONS.  Recipient
  253.     acknowledges that the Product is subject to U.S. export
  254.     jurisdiction.  Recipient agrees to comply with all
  255.     applicable international and national laws that apply to
  256.     these products, including the U.S. Export Administration
  257.     Regulations, as well as end-user, end-use and country
  258.     destination restrictions issued by U.S. and other
  259.     governments.  For additional information on exporting
